Tsuen May Trading Inc. – Wholesale B2B

We are a wholesale, business-to-business (B2B) supplier.
All customers must register an account with us prior to purchase.
A valid Florida resale certificate (or equivalent resale/tax exemption certificate for out-of-state businesses) is required to establish an account.

All prices are quoted in U.S. Dollars (USD) and are subject to change without prior notice.
Payment terms must be agreed upon prior to order confirmation. Unless otherwise specified, orders require prepayment before shipment.
Accepted forms of payment: bank transfer, ACH, wire, credit card (fees may apply), or company check (with prior approval).

All pricing offered by Tsuen May Trading Inc. is wholesale pricing, available exclusively to registered business customers with a valid resale certificate on file.
Wholesale pricing is not available to retail consumers or unregistered individuals.
Customers agree not to misrepresent themselves as resellers or purchase products for personal use at wholesale pricing.
We reserve the right to suspend or terminate any account found in violation of this policy.

Sales tax will be charged on orders within Florida unless a valid resale certificate is provided and on file.
Out-of-state customers must also provide their resale or exemption certificates, if applicable, to avoid tax charges.

Orders are shipped FOB Miami, Florida, unless otherwise stated. Title and risk of loss transfer to the customer upon delivery to the carrier.
Shipping charges are the responsibility of the customer and will be added to the invoice unless otherwise arranged.
Delivery dates are estimates only. We are not liable for delays beyond our control.

Returns are accepted only with prior written authorization and must be requested within 7 days of delivery.
Products must be returned in original packaging and condition.
No returns or exchanges will be accepted for:
- Sale or clearance items
- Promotional or discounted items
- Custom or special-order items
- Perishable or time-sensitive goods (if applicable)
Unauthorized returns will not be accepted.
Claims for shortages or damages must be made within 48 hours of receipt, with photos and documentation provided.

All products are sold “as is” unless otherwise stated. Manufacturer warranties may apply where available.
Tsuen May Trading Inc. makes no other warranties, express or implied, including merchantability or fitness for a particular purpose.
Our liability is limited to the invoice value of the goods in question.

Failure to pay according to agreed terms may result in account suspension or revocation.
Customer agrees to pay all collection costs, including reasonable attorney’s fees, in the event of default.

Any dispute, claim, or controversy arising out of or relating to these Terms & Conditions, any order, or the products sold shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
The arbitration shall take place in Miami-Dade County, Florida, and be conducted in English.
Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Both parties waive the right to bring or participate in a class action or jury trial.

These Terms & Conditions are governed by the laws of the State of Florida.
Subject to the Arbitration Agreement above, any disputes shall be resolved in the courts of Miami-Dade County, Florida.

Tsuen May Trading Inc. reserves the right to modify these Terms & Conditions at any time without prior notice.
